These Terms of Use (“Terms”) govern your access to and use of the Broka website (“Site”) and any publicly accessible features of the Broka platform (“Platform”).

By using the Site or creating an account, you agree to these Terms.

If you enter into a separate subscription agreement with Broka (for example as a Broker, Lender, or Introducer), that agreement takes priority over these Terms for any paid services or Platform access.

1. About Broka

 

Broka is a digital loan-sourcing and workflow platform for bridging and development finance. Broka is a software and marketing company and does not provide financial advice.

Broka is not authorised or regulated by the FCA.

No content on this Site or Platform should be taken as regulated advice, guidance, or a recommendation.

2. Who These Terms Apply To

 

These Terms apply to:

 

• Visitors to the Site

• Users browsing public Platform pages

• Anyone signing up for demonstrations or webinars

• Anyone creating a Broka account but not yet entering into a subscription agreement

 

Once you enter a signed or click-accepted subscription agreement (Broker, Lender or Introducer), that agreement governs your platform usage.

3. Your Responsibilities

 

You agree that you will:

 

3.1 Provide accurate and lawful data

 

If you submit personal or business data into the Platform, you confirm:

 

• You have a lawful basis to do so

• You have obtained any required GDPR consents

• Information is complete and accurate

 

Broka does not verify user-submitted data.

 

3.2 Use the Site lawfully

 

You must not:

 

• Misuse or attempt to reverse-engineer the Platform

• Upload harmful, defamatory, or illegal content

• Attempt to bypass Platform security

• Perform automated scraping or data extraction

4. Data Protection & GDPR

4.1 Controller status

 

In line with Broka’s formal subscription agreements with Brokers, Lenders and Introducers:

Broka may act as an independent Controller or as a Processor depending on the nature of the processing.

Where a formal subscription agreement exists, the role defined in that agreement prevails.

 

• In Broker and Introducer agreements, Broka is a further independent Controller of submitted personal data.

• For generic Site browsing and demo sign-ups, Broka acts as a Controller for marketing and operational purposes.

 

 

4.2 User responsibility

 

You are solely responsible for:

 

• Ensuring you have all required consents to upload any personal data

• Ensuring data is accurate and lawful

 

Broka is not liable for unlawful or incorrect submissions.

5. Matching, Criteria & Platform Information

 

Broka displays lender criteria and provides automated matching tools.

Broka does not guarantee:

 

• Funding

• Suitability of any lender or product

• That a lender will make an offer

• That criteria are complete, current, or error-free

 

Lenders update their own criteria and Broka does not verify them.

Matches are suggestions only.

6. No Advice

 

Broka does not:

 

• Give financial advice

• Recommend products

• Warrant the suitability of any lender

• Guarantee outcomes

 

Brokers, Lenders and Introducers remain wholly responsible for regulatory compliance.

7. Platform Availability

 

Broka aims to keep the Site and Platform available but does not guarantee:

 

• Uninterrupted access

• Error-free performance

• That data or submissions will be delivered successfully

 

Maintenance may occur without notice.

8. Intellectual Property

 

All rights in the Platform, software, algorithms, branding, databases, and materials belong to Broka or its licensors.

You may not:

 

• Copy, reproduce or reverse engineer the Platform

• Use the Platform to build a competing service

• Remove or alter branding

9. Limits of Liability

 

To the fullest extent permitted by law:

 

• Broka is not liable for loss of profit, lost business, missed commissions, opportunities, reputational damage, or indirect losses.

• Broka is not liable for lender decisions, delays, withdrawn offers, or inaccurate lender criteria.

• Broka is not liable for user-submitted content or data accuracy.

• Broka does not accept liability for loss arising from reliance on information provided through the Platform.

 

 

Website-only liability cap

 

For users covered solely by these Website Terms (i.e., without a separate subscription agreement):

Broka’s total aggregate liability is limited to £100.

In subscription agreements, the liability caps defined in those contracts apply instead.

Nothing excludes liability for fraud or other liabilities which cannot be excluded by law.

10. Relationship with Subscription Agreements

 

If you sign up as a:

 

• Broker (Broker Subscription Agreement)

• Lender (Lender Terms)

• Introducer (Introducer Agreement)

 

…those agreements govern your:

 

• Fees

• Commission

• Data roles (Controller/Controller)

• Responsibilities

• Liability caps

• Audit rights

• Performance obligations

 

These Website Terms apply only to general Site use and do not override or modify contractual obligations.

11. Termination

 

Broka may suspend or terminate your access to the Site if:

 

• You breach these Terms

• You misuse the Site or attempt to compromise security

• Your actions create a risk for Broka or its users

 

If you hold a subscription agreement, termination will follow the rules in that agreement.
